Why Hong Kong

A Hong Kong limited company is a common first vehicle for founders selling into Asia: simple to form, recognised by banks, and taxed only on Hong Kong-sourced profits.

Setup

One shareholder, one individual director (18+), any nationality. Share capital from HK$1. English, Chinese, or both in the name. Typical filing to kit is about 7 working days after documents, subject to the Companies Registry.

Tax

Profits tax applies to profits arising in Hong Kong. Offshore-sourced profits may be non-taxable. No profits, no profits tax. From 1 April 2018 the first HK$2 million of corporate profits is charged at 8.25%; above that, 16.5%. This is not tax advice.

Banking

Hong Kong remains a practical place to hold an operating or holding account. We introduce you to HSBC, Bank of China, DBS or a virtual bank such as Currenxie. Opening is the bank’s decision.

Ongoing

You must keep a company secretary, a Hong Kong registered office, a Significant Controllers Register, and file annual returns. That is what our year 2 package is for — not accounting, and not a software hub.
